By accessing our website or engaging Techvok for services, you agree to be bound by these Terms and Conditions and our Privacy Policy. If you’re accepting on behalf of a company, you confirm you have the authority to bind that company to these terms.
2. Description of Services
Techvok provides digital services including web and mobile development, UI/UX design, digital transformation consulting, cloud solutions, AI and automation, and performance marketing. The specific scope, deliverables, timeline, and fees for any engagement are defined in a separate statement of work (“SOW”) or service agreement, which these terms incorporate by reference.
3. User Responsibilities
When using our website or working with us, you agree to:
- Provide accurate, current information when submitting forms or entering into an agreement with us.
- Use our website only for lawful purposes and in a way that doesn’t infringe on the rights of others.
- Provide timely feedback, approvals, and access to systems or materials reasonably needed to deliver a project.
- Not attempt to disrupt, reverse-engineer, or gain unauthorized access to our systems or website.
4. Intellectual Property Rights
Unless otherwise agreed in a signed SOW, upon full payment, you own the final deliverables created specifically for your project. Techvok retains ownership of pre-existing tools, frameworks, code libraries, and methodologies used to build those deliverables, and grants you a non-exclusive license to use them as part of your project. All content on this website—including text, graphics, logos, and design—remains the property of Techvok unless stated otherwise.
5. Payment Terms
Fees, payment schedules, and invoicing terms are set out in the applicable SOW. Unless otherwise agreed, invoices are due within 15 days of receipt. Late payments may be subject to a reasonable late fee, and we reserve the right to pause work on overdue accounts until payment is resolved.
6. Confidentiality
Both parties agree to keep confidential any non-public business, technical, or financial information disclosed during an engagement, and to use it only for the purposes of that engagement. This obligation survives the completion or termination of any project.
7. Warranties & Disclaimers
We warrant that services will be performed in a professional manner consistent with industry standards. Except as expressly stated in a signed SOW, our website and services are provided “as is” without warranties of any kind, whether express or implied, including merchantability or fitness for a particular purpose.
8. Limitation of Liability
To the maximum extent permitted by law, Techvok’s total liability arising from any engagement will not exceed the total fees paid to us under the applicable SOW in the twelve months preceding the claim. Neither party will be liable for indirect, incidental, or consequential damages, including lost profits or lost data.
9. Indemnification
You agree to indemnify and hold Techvok harmless from any claims, damages, or expenses arising from your misuse of our services, violation of these terms, or infringement of any third-party rights through content or materials you provide to us.
10. Termination
Either party may terminate an active engagement as set out in the applicable SOW, typically with written notice. Upon termination, you’ll be invoiced for work completed up to the termination date, and any pre-paid, undelivered fees will be handled according to the terms of that SOW.
11. Governing Law
These terms are governed by the laws of the State of California, without regard to its conflict-of-law provisions. Any disputes arising from these terms or an engagement with us will be subject to the exclusive jurisdiction of the courts located in San Francisco, California.
12. Changes to These Terms
We may update these terms from time to time. Continued use of our website after changes are posted constitutes acceptance of the revised terms. Material changes affecting active engagements will be communicated directly, and existing SOWs remain governed by the terms in effect when they were signed.
